The direction and administration of business and affairs are managed by our Board of Directors in accordance with our bylaws and the Argentine Corporations Law. Our bylaws provide that our Board of Directors will consist of twelve directors and up to the same number of alternate directors. Pursuant to the Argentine Corporations Law, most of, many of our directors must be Argentina’s residents.
Directors and alternate directors serve through indefinitely renewable periods. Our directors and alternate directors are as follows:
Ricardo Torres was born on March 26, 1958. As from November 2005 he is member of edenor’s Board of Directors and since March 2012 he is Chairman of the Board of Directors and the Company’s CEO. Likewise, as from November 2005 Mr. Torres is member of Pampa Energía’s Board of Directors and at present he serves as Pampa’s Distribution and Administration Director. Previously, he was partner in Darwin Inversiones. From 1993 to 2001, he held the CFO position at IRSA, a leading company in the Real State sector in Argentina as well as Director in Alto Palermo and Brazil Realty. At present, he is managing partner of Todos Capital and Pop Argentina. Mr. Torres holds a degree in accounting issued by the University of Buenos Aires and a Master’s degree in Business Administration issued by the IAE Business School, Universidad Austral.
Gustavo Mariani was born on September 9, 1970, he has been a member of edenor’s Board of Directors since November 2005 and serves as Vice-Chairman. Likewise, he has been member of Pampa Energía’s Board of Directors and serves as Generation and New Business Director. At present, Mr. Mariani is shareholder and director of Grupo EMES (previously called Grupo Dolphin) company he joined in 1993 as analyst and then served as an investment portfolio manager. In addition, Mr. Mariani is the executive secretary of the Management Board of the Pampa Energía Foundation. Mr. Mariani holds a degree in Economics from Belgrano University and a Master’s degree in Business Administration from the Universidad del CEMA (Center of Macroeconomic Studies) and holds the Chartered Financial Analyst (CFA) designation.
Carolina Sigwald was born on November 15, 1967. She started her professional career as a lawyer in Central Puerto after its privatization and then joined Chadbourne & Parke in New York and later the Inter-American Investment Corporation (IIC) in Washington. Carolina returned to Argentina in 1998 as founding partner of Díaz Bobillo, Sigwald & Vittone Law Firm where she performed as external advisor for energy companies, Pampa Energia among them. Before joining Pampa, between 2015 and 2017, she was edenor’s Legal and Regulatory Affairs Director. Likewise, at present she is a member of TGS and Telefónica de Argentina’s´Board of Directors.
Mrs. Sigwald obtained her law degree in the University of Buenos Aires, where she graduated with honors.
Born on September 19, 1954, he works as an independent consultant in the reconversion and management of SMEs, previously, he exercised managerial functions in the business and finance area of multinational companies and SMEs in Argentina and Brazil.
He is a National Public Accountant graduated from the University of Belgrano (UB), he has a master's degree in Business Administration from the Instituto de Altos Estudios Empresariales - Business School of the Austral University and a Postgraduate Degree in Agribusiness from the Buenos Aires University (UBA).
Member of the Commission for Innovation and Competitiveness Studies of CPCECABA and of the Support Network of the Centro Entrepreneur de Naves IAE of the Austral University.
Mr. Carlos Alberto Iglesias was born in February 5th 1956. He has significant experience in the financial sector of national and international companies. Between 2002 and 2016 he performed as Director of the Investment Banking sector at Raymond James in Argentina. Previously he worked in the investment banking sector at ING Argentina, also as finance manager at SAMPA (IRSA holding), consultant at Booz Allen & Hamilton. He was member of the association for the acquisition of ENTel with Bell Atlantic y Manufacturers Hanover. He held a chief position at the Secretary of Industry and Foreign trade and financial analyst at SOCMA.
Mr. Iglesias obtained bachelor’s degree in Economics at the University of Buenos Aires and a sociology degree at Belgrano University.
Mr. Montero has been a member of our board of directors since 2012. He is edenor’s Chief Financial Officer and previously served in the investment group of Pampa Energía S.A. Prior to joining Edenor in 2008, Mr. Montero held various positions in the Administration and Finance areas of Pampa Energía and Petrobras Argentina S.A., both public and SEC-listed companies. Mr. Montero worked at Ernst & Young - Pistrelli, Henry Martin y Asociados in the Advisory and Auditing Divisions.
Mr. Montero holds a degree in Public Accounting from the University of Buenos Aires, and a Master degree in Business Administration and a Postgraduate course in Senior Management from the Instituto de Altos Estudios Empresariales (IAE), school of business of the Universidad Austral.
Daniel Flaks has been member of edenor’s Board of Directors since 2012. At present, he is edenor’s Technical Director. He joined the company in 1993. Between 1993 and 2003, he served as departmental head and Deputy manager for the San Justo and Olivos’ regions. Between 2003 and 2006 he held the position of Business Manager and afterwards as Operations Manager for the Olivos and Pilar regions. Between 2006 and 2010, he served as Distribution Manager and was in charge of the direction, coordination and control of technical and commercial operations of the company relating to the operation of high, medium and low-tension plants, control centers and commercial operations related mainly to the customer service area and the relationship with municipal authorities and the ENRE. Between 1993 and 1998 he was adjunct professor for the electric energy systems lecture in the National University of Technology (UTN).
Mr. Flaks has a degree in electrical engineering issued by National University of Technology (UTN and holds an MBA issued by the Salvador University in Argentina.
Eduardo Maggi was born on December 31st, 1955.
Mr. Maggi was appointed edenor’s Operations Management in 2001. At present, he is director at SACME, which is responsible for the high-tension network operation in the Metropolitan Area of Greater Buenos Aires as well as for the coordination, control of supervision of the generation, transmission and sub transmission in the city of Buenos Aires. Previously he acted as District Director for two of edenor’s operations zones: San Martín and Morón. He started his career in the Company as Technical Director. He holds an Engineer degree issued by the National University of Technology (UTN) and a master degree in Business Administration issued by Salvador University and Deusto University in Spain.
Gerardo Tabakman was born on January 22nd, 1975. He has been acting as Customer Service Director as from November 2017. He had been edenor’s IT and Telecommunications Director since April 2012. Between September 2011 and April 2012, he acted as Manager for these departments. Likewise, Mr. Tabakman was Pampa Energia’s Systems Manager from February 2008 to September 2011 and Accenture’s Manager from June 1997 to February 2008.
He holds a degree in Business Administration issued by the University of Buenos Aires (UBA) and a master degree of the Executive Development Program of the IAE Business School.
Mr. Ariosa holds the position of edenor’s Legal Affairs Manager since June 2016. As from November 2017 he reposts to the company’s General Management. Between 2010 to 2011 he acted as EMDERSA’s Legal Affairs Manager. Before that, he acted as Legal Affairs Director in Transportadora de Gas del Sur S.A and Legal Affairs manager in Petrobras. As from 2013, he has been SACME´s statutory auditor in the auditing commissions of Transener, Transba, Edesur, Yacylec, Enecor, TGS and Compañía Mega. He was responsible of the Legal Affairs department in Pérez Companc in Bolivia, and formerly he worked in law firms specialized in the energetic Law and the Judicial Branch.
Mr. Ariosa holds a degree in Law and Political Science issued the Catholic University in Argentina (UCA). He obtained a master’s degree on Oil and Gas in the University of Buenos Aires (UBA) and he also studied business administration in the electric market and natural gas at ITBA.
